Zel Assist is a WhatsApp business automation platform operated by Zel Assist Technologies ("Zel Assist", "we", "us"). It connects to a business's ("vendor", "you") WhatsApp Business Account and uses AI to answer customer messages, grounded in the product and business information the vendor provides. Features may change as we improve or update the service.
Zel Assist operates as a Technology Provider on Meta's WhatsApp Business Platform. Connecting your WhatsApp Business Account happens either through Meta's Embedded Signup process, or by providing your Phone Number ID and WhatsApp Business Account (WABA) ID directly. Once connected, Zel Assist is authorized to send and receive WhatsApp messages on your behalf using Zel Assist's own platform-level access, in order to operate your automated assistant.
Your use of WhatsApp through Zel Assist is also governed by Meta's and WhatsApp's own terms, policies, and Business Messaging Policy. Zel Assist does not control, and is not responsible for, Meta's or WhatsApp's availability, approval decisions, account restrictions, or policy enforcement.
You must be legally capable of entering into these Terms. If you create an account on behalf of a business, you represent that you have authority to do so. Signing up requires a business name, owner name, a valid phone number, and a password; you're responsible for keeping your credentials secure and for activity under your account. Zel Assist does not currently offer self-service account deletion — to close an account or request deletion of associated data, contact us using the details in Section 14.
Zel Assist uses artificial intelligence (via a third-party AI provider) to generate customer-facing responses grounded in the product and business information you supply. AI-generated responses may occasionally be inaccurate, incomplete, or unsuitable for a particular situation. You remain responsible for reviewing and configuring your automation, for the accuracy of the information it draws on, and for the communications sent through your account. Zel Assist does not guarantee AI-generated content will always be accurate or error-free.
Paid plan pricing is shown on our pricing page. Signing up is free, and you can build your product catalog before activating a paid plan — the bot does not respond to customers until a paid plan is active. Paid subscriptions are billed via Paystack; Zel Assist does not store your card details.
To cancel a paid subscription, contact us using the details in Section 14. We do not currently offer refunds for amounts already billed, except where required by applicable law.
We may add, remove, or change plans, features, usage limits, and pricing at any time. Where a change affects an active paid subscription, we'll give reasonable advance notice before it takes effect on your next billing cycle; continuing your subscription after that point means you accept the change.
Zel Assist operates a cross-vendor discovery feature that can route a customer to a complementary business when relevant. Participation is opt-in. We make no guarantee about the volume or quality of referrals in either direction.
Zel Assist may offer a vendor-to-vendor referral program (rewarding successful referrals with free subscription days) and a separate, admin-managed brand agent program (rewarding referrals with a commission on subscription revenue). Terms and eligibility for these programs may change, and participation does not create any employment, partnership, or agency relationship with Zel Assist.
You agree to use Zel Assist only for lawful purposes. You must not use Zel Assist to: send spam or unsolicited communications; conduct fraud, scams, impersonation, or deceptive activity; sell illegal goods or services; distribute unlawful or harmful content; violate another person's privacy or rights; interfere with the operation or security of the service; attempt unauthorized access to accounts, systems, or data; or use the service in violation of applicable law or WhatsApp's own Business Messaging Policy. You are responsible for the messages, content, and instructions submitted through your account.
Zel Assist's software, branding, design, and documentation are owned by or licensed to Zel Assist Technologies and protected by applicable intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, reverse engineer, or commercially exploit the service or its underlying software. You retain ownership of the product, business, and customer content you submit, subject to the rights necessary for us to provide the service to you (including sending it to the third-party AI and messaging providers described in our Privacy Policy).
We may suspend or restrict your access where reasonably necessary, including where you materially violate these Terms or WhatsApp's Business Messaging Policy, your use creates a security or legal risk, you engage in fraud or abuse, you fail to pay applicable fees, or Meta or another third-party platform requires us to restrict the relevant functionality. Where appropriate, we'll provide notice before suspension or termination.
Zel Assist depends on and integrates with third-party services, including Meta/WhatsApp, our AI provider, our media hosting provider, our payment processor (Paystack), and our infrastructure/hosting providers. These are described in our Privacy Policy. Third-party services are governed by their own terms; Zel Assist is not responsible for their independent actions, availability, or policies.
Zel Assist is provided on an "as available" basis, without guarantees that it will be uninterrupted, error-free, or that Meta or WhatsApp will continue to approve or support any particular integration. To the maximum extent permitted by applicable law, Zel Assist Technologies will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including losses arising from an AI-generated reply. Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
Zel Assist is a work in progress. We may change, add, or remove features, plans, and pricing (see Section 5), and may update these Terms, at any time. Where changes are material, we'll provide reasonable notice through the service, WhatsApp, email, or other appropriate means. Continued use of Zel Assist after a change takes effect constitutes acceptance of it.
These Terms are governed by the laws of the Federal Republic of Nigeria, without prejudice to any mandatory rights available to you under applicable law.
